The basic cost of setting up an Illinois LLC is $150. When you file your Articles of Organization online, this fee is paid to the Illinois Secretary of State. But in addition to that $150 filing fee, there are other ancillary fees involved in forming an LLC in the state. Illinois LLC Filing Fee: $150

The primary form, the Articles of Organization, is required to form an LLC in the state. This is filed with the Secretary of State. The office charges a $150 fee for the online completion and recording of this document.

Illinois LLC Annual Report Fee: $75

Illinois requires all LLCs to fill out an annual report through the Secretary of State’s office. This form can be filed on their website or Form LLC-50 can be sent via mail. There is a $100 late fee for failure to file within the designated range (60 days past its due date). 

Illinois LLC Registered Agent Fee: Varies ($39+) 

When deciding on who will be your LLCs registered agent, you can either file independently or with a service. Using a service would allow someone else to maintain due dates and records. 

The rate for third party registered agents typically begins at $39. 

Cost to Form a Foreign LLC in Illinois: $150

If your LLC already exists in another state and will form in Illinois, you still need to register as a foreign LLC within the state.

Other LLC Filing Costs

When forming an LLC, you may incur additional/optional fees such as:

“Doing Business As” (DBA) Name

Obtain and file an Assumed Name Certificate (Form LLC – 1.20) to create a separate name from your legal LLC name. This costs $25 to file.

Certified Document Copies 

You can get certified copies of your Illinois business documents through the Secretary of State. This costs $25 to file. 

LLC Name Reservation

To reserve your name up to 90 days prior to forming your LLC, you can fill out an Application to Reserve a Name (Form LLC – 1.15) 

Certificate of Good Standing 

The Illinois Certificate of Good Standing can be obtained through the Secretary of State’s office, which is used by banks and lending institutions. The cost to file is $25.
